ACC.20/WCC Anywhere Global Terms of Service, and License Agreement

The Terms of Service and License Agreement set forth below constitute a legal agreement (collectively, the "Agreement") between the American College of Cardiology Foundation ("ACCF") and You and your agents ("You" or “Your”) for the use of ACC.20/WCC Anywhere (the "Product”).

By clicking on the Register button below, and by using the Product, You accept and agree to be bound by all of the terms and conditions set forth in this Agreement. If You do not wish to accept the terms and conditions of this Agreement, You may not proceed to use the Product.

ACCF may change the terms of this Agreement from time to time without further notice directly to You. When the terms are changed, ACCF will post a general conspicuous notice. If You do not agree with the revised terms, please discontinue use of the Product immediately. Your continued use of the Product following such notice constitutes your acceptance of and agreement to be bound by any revised terms of the Agreement. This Agreement expressly incorporates by reference and includes any and all rules or disclaimers that may be posted and updated within the Product or communicated to You from time to time.

INFORMATION REGARDING THE PRODUCT

Target Audience

ACC.20/WCC Anywhere Global is intended for all professionals involved in delivering cardiovascular care, with particular emphasis on physicians, scientists, nurse practitioners, clinical nurse specialists, physician assistants, nurses, pharmacists, and practice administrators. Medical students and trainees, technicians, dietitians and other health care professionals will also benefit.

Educational Needs and Program Goals

ACC.20/WCC Statement of Educational Need/Purpose
Cardiovascular disease (CVD) remains the leading cause of death throughout the world. This year, ACC.20 together with the World Congress of Cardiology (WCC) will bring a global focus to cardiovascular care that combines late breaking science with interactive, innovative education. At ACC.20/WCC, all members of the cardiovascular care team will receive essential education highlighting ongoing research that seeks to improve outcomes in several areas of CVD as well as addressing numerous well-defined, evidence-based practices that struggle with implementation. In this era of rapid transformation, ACC.20/WCC provides perspectives from around the world to address practice gaps, to optimize cardiovascular care, and to update clinicians on the latest science and advances in CVD.

ACC is dedicated to providing needs-based education that is independent of commercial interests and fosters change in learners’ knowledge, competence and performance to ultimately improve patient outcomes. This educational activity aspires to:

TERMS OF SERVICE AND LICENSE AGREEMENT

License Term and Termination
You acknowledge and agree that the Product is being provided to you for a limited period of time, and that You will have access to the Product through the Product’s date of expiration. ACCF may earlier terminate your access and/or the Product at any time for reasonable cause, upon notice to You. You agree that any such termination of your access to the Product shall not result in any liability or other obligation of ACCF to You, or any third party in connection with such termination.

 
Intellectual Property Rights
This Product, including the information, text, graphics, images, audio and video files, trademarks and other materials that may be contained therein (collectively "Content"), and all right, title and interest therein, including copyright and all rights subsumed thereunder, is owned by ACCF, and to the extent any Content is not owned by ACCF, ACCF has obtained sufficient rights and permissions to include such Content in the Product. The Content is protected by patents, copyrights, trademarks, and other proprietary rights. Except as otherwise specifically provided in this Agreement, your use of the Product shall be governed and constrained by applicable patent, copyright, trademark and other intellectual property laws. ACCF grants You a limited, nonexclusive, nontransferable, non-sublicenseable, revocable license to utilize and access the Product for Your noncommercial, personal use according to the terms and conditions in this Agreement. You may not modify, publish, transmit, participate in the transfer or sale of, reproduce, create derivative works from, distribute, perform, display, incorporate into another website or any other medium, or in any other way exploit the Product and/or any of the Content, in whole or in part. Except as expressly granted by this Agreement, You acquire no right, title or interest in or to the Product or the Content or other data or materials incorporated in the Product. ACCF, American College of Cardiology (“ACC”), and any affiliates or licensors thereof shall retain all right, title and interest in the Product and Content.

ACCF is not responsible for statements made by any contributor to the Product or for any errors or omissions or for the results obtained from use of the information contained in this Product. Statements or opinions expressed in this Product reflect the views of the contributors and do not reflect the official policy of ACCF or ACC. The Product and Content are provided on an “as is” and “as available” basis. ACCF and ACC expressly disclaim all warranties of any kind with respect to the Product or Content, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. ACCF makes no warranty that the Product and/or any Content therein will meet Your requirements, or will be accurate, complete or error-free, and further does not warrant that the results that may be obtained by Your use of the Product or any Content therein will be accurate or reliable.

The Content on the Product is presented as an educational service intended for licensed healthcare professionals. While the Content in the Product is about specific medical and healthcare issues, the Content is not a substitute for or replacement of personalized medical advice and is not intended to be used as the sole basis for making individualized medical or health-related decisions.

Unapproved Use Disclosure
This Product may include discussion about pharmaceutical agents and/or medical devices/products that are outside of United States Food and Drug Administration approved labeling. Disclosure/Conflict of Interest
ACCF strives to ensure balance, independence, objectivity and scientific rigor in all of its directly provided or jointly provided/co-provided educational activities. Planners, presenters, and other contributors in a position to control the Content included in the Product are required to disclose to ACCF all relevant financial or other material relationships or interests he/she and/or his/her spouse or domestic partner may have, occurring within the past twelve (12) months, with any entity producing, marketing, re-selling, or distributing health care goods or services consumed by, or used on, patients. When an unlabeled use of a commercial product or an investigational use not yet approved for any purpose is discussed during an educational activity, ACCF requires the inclusion of a disclosure statement that the product is not labeled for the use under discussion or that the product is still investigational.

ACCF is committed to providing its learners with high-quality activities and materials that promote improvements and quality in health care, rather than a specific proprietary business or commercial interest. The intent of ACCF’s required disclosure is not to prevent participation in certified educational activities by persons with a financial or other material relationship with entities producing, marketing, re-selling, or distributing health care goods or services consumed by, or used on, patients, but rather to provide learners with information on which they can make their own determination whether financial interests or material relationships may influence the certified activity.

ACCF assesses potential conflicts of interest disclosed by its faculty, contributors, planners, managers, staff and other individuals who are in a position to control the content of certified activities. All relevant potential conflicts of interest that are identified are thoroughly vetted through a process conducted by activity course directors, ACCF education staff, and members of the Accreditation Compliance Workgroup (ACWG) and that includes appropriate peer review for fair balance, scientific objectivity and validity, and patient care and safety recommendations.

Release of Liability

You hereby agree to assume all risks associated with use of the Product including, but not limited to any harm, injury or damages resulting directly or indirectly from the use of the Product, all such risks being known and understood by You. In consideration of your use of the Product, You, for yourself, your successors, assigns and anyone entitled to act on your behalf, waive and forever release and discharge ACCF, its officers, trustees, employees, representatives and successors from any and all claims and liabilities of any kind arising out of or in connection with Your use or misuse of the Product.

Indemnification
You hereby agree to indemnify, save and hold ACCF, its directors, officers, shareholders, parents, subsidiaries, affiliates, agents and licensors harmless from and against any and all claims, liability, losses, damages and costs, including, without limitation, reasonable attorneys' fees and costs, arising out of or in connection with Your use or misuse of the Product or Content, or any violation of this Agreement. ACCF assumes the right, at Your expense, to assume the exclusive defense and control of any matter for which You are required to indemnify ACCF, and You agree to cooperate with ACCF’s defense of these claims. ACCF will use reasonable efforts to notify You of any such claim, action, or proceeding upon becoming aware of it. 

Miscellaneous
This Agreement is personal to You, and You may not assign your rights or obligations to any other individual or entity. Neither failure nor delay on the part of any party to exercise any right, remedy, power or privilege hereunder nor course of dealing between the parties shall operate as a waiver thereof, or of the exercise of any other right, remedy, power or privilege. No term of this Agreement shall be deemed waived, and no breach consented to, unless such waiver or consent shall be in writing and signed by the party claimed to have waived or consented. No waiver of any rights or consent to any breaches shall constitute a waiver of any other rights or consent to any other breach. If any provision in this Agreement is held invalid or unenforceable under applicable law, the remaining provisions shall continue in full force and effect. This Agreement will be governed by and construed exclusively in accordance with the laws of the District of Columbia, USA, without regard to its conflicts of law principles and, to the extent applicable, the federal laws of the United States.

Certification
I hereby certify that I understand and agree to the terms stated in this Agreement and that this Agreement applies to my initial use of the Product and all other subsequent uses of the Product.
